This End User License Agreement (“Agreement”) is between Clean Time, Inc. (“Clean Time,” “we,” “us” or “our”) and you, the person or business that uses the Clean Time gift certificate application (the “App”). The App connects to QuickBooks Online to retrieve payment information and generate gift certificates. By connecting to or using the App, you agree to this Agreement. If you do not agree, do not use the App.
1. License
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for its intended purpose: retrieving payment information from an authorized QuickBooks Online company to create, deliver and track gift certificates for Clean Time, Inc.
2. Restrictions
You may not:
- Copy, modify, sell, rent, lease, sublicense or distribute the App.
- Reverse engineer, decompile or disassemble the App, except where the law expressly allows it.
- Use the App to access data you are not authorized to access, or in any way that is unlawful or violates the rights of others.
- Interfere with or disrupt the App, QuickBooks Online or any related systems, or attempt to bypass their security.
3. QuickBooks Online
The App requires a QuickBooks Online account, which is provided by Intuit Inc. under Intuit’s own terms. Intuit is not a party to this Agreement and is not responsible for the App. You authorize the App’s access to QuickBooks Online through Intuit’s authorization process, and you can revoke that access at any time from QuickBooks. You are responsible for keeping your QuickBooks login credentials secure.
4. Data and privacy
The App reads payment and customer information from QuickBooks Online only to generate and manage gift certificates. Information obtained through the App is collected, used and protected as described in our Privacy Policy.
5. Gift certificates
Gift certificates generated with the App are issued by Clean Time, Inc. and are subject to the terms stated on each certificate and to applicable law.
6. Ownership
The App, including its software, design and content, is owned by Clean Time, Inc. and is licensed, not sold, to you. We reserve all rights not expressly granted in this Agreement. QuickBooks and Intuit are trademarks of Intuit Inc.
7. Updates and availability
We may update, change or discontinue the App at any time. We do not guarantee that the App will always be available, uninterrupted or error-free.
8. Disclaimer of warranties
To the fullest extent permitted by law, the App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, Clean Time, Inc. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or revenue, arising from or related to your use of, or inability to use, the App. Our total liability for any claim related to the App will not exceed the amount you paid us for the App, if any.
10. Termination
This Agreement remains in effect until terminated. You may terminate it at any time by disconnecting the App from QuickBooks Online and no longer using it. We may suspend or terminate your access if you violate this Agreement. Sections 6, 8, 9 and 11 survive termination.
11. Governing law
This Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-law rules.
12. Changes to this Agreement
We may update this Agreement from time to time. When we do, we will post the new version on this page and change the “Last updated” date above. Continuing to use the App after a change means you accept the updated Agreement.
